Finnish group’s final bid for Topdanmark

Finnish company Sampo has made a final offer to acquire insurer Topdanmark, proposing a swap of 1.25 Sampo shares for each Topdanmark share—a 27% premium based on June 14 closing prices. The deal values Topdanmark at around 33 billion Danish crowns. Sampo, which already holds 49.5% of Topdanmark and operates If in Denmark, has received green light from authorities and Topdanmark’s board, with shareholder approval pending until September 9. The goal, upon reaching 90% shareholder agreement, is to take Topdanmark private and merge it with If. The Danish company traces its roots to 1898 and has 2,100 employees and 600,000 private customers. Its CEO since 2018 is Peter Hermann.
